1. Acceptance of Terms

By accessing or using the services provided by ChoraQuest ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

ChoraQuest provides geographic information systems (GIS) mapping, land management, title research, claim staking, custom development, and related consulting services. All services are provided on a professional services basis and are subject to the specific terms outlined in individual service agreements or statements of work.

3. Limitation of Liability

3.1 Professional Services Disclaimer

Our services are provided for informational and analytical purposes. While we strive for accuracy, GIS data, maps, and reports may contain errors, omissions, or inaccuracies. Clients are responsible for conducting their own due diligence and verification of all information provided.

3.2 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

3.3 Limitation of Damages

IN NO EVENT SHALL CHORAQUEST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use our services
• Any errors, omissions, or inaccuracies in data or information provided
• Decisions made based on our reports, maps, or analyses
• Any unauthorized access to or alteration of your data

3.4 Maximum Liability

Our total liability to you for any claims arising from or related to our services shall not exceed the amount paid by you to ChoraQuest for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

4. Intellectual Property Rights

4.1 Company IP

All content, materials, software, methodologies, and deliverables created by ChoraQuest, including but not limited to custom tools, automation scripts, templates, maps, and analytical methods, remain the exclusive intellectual property of ChoraQuest unless explicitly transferred in writing.

4.2 Client Data

You retain all rights to data and information you provide to us. By providing data, you grant us a limited license to use, process, and analyze such data solely for the purpose of providing services to you.

4.3 Deliverables

Upon full payment, you receive a non-exclusive, non-transferable license to use deliverables (such as reports, maps, and data) for your internal business purposes. You may not resell, redistribute, or commercially exploit our deliverables without prior written consent.

4.4 Third-Party Data

Some deliverables may incorporate third-party data sources (e.g., government databases, satellite imagery). Use of such data is subject to the respective third-party licenses and restrictions.

5. Privacy Policy

5.1 Information Collection

We collect information you provide directly to us, including:

• Contact information (name, email, phone number, company)
• Project data and documents you share with us
• Payment and billing information
• Communications with our team

5.2 Use of Information

We use collected information to:

• Provide and improve our services
• Communicate with you about projects and services
• Process payments and maintain records
• Comply with legal obligations
• Analyze website traffic and service usage (via Google Analytics)

5.3 Information Sharing

6. Client Responsibilities

• Pay all fees according to agreed-upon terms
• Use our services and deliverables in compliance with all applicable laws
• Maintain confidentiality of any login credentials or access to proprietary systems
• Conduct your own independent verification of information provided

7. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise stated:

• Payment is due within 30 days of invoice date
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified in writing

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives termination of services.

9. Indemnification

You agree to indemnify and hold harmless ChoraQuest from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of another party.

10. Termination

Either party may terminate services with written notice. Upon termination:

• You remain responsible for payment of all fees for services rendered
• We will deliver all completed work products
• Each party will return or destroy confidential information as requested
• Provisions regarding IP, confidentiality, and liability survive termination

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the state in which ChoraQuest operates, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court for intellectual property matters.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
